JOB PURPOSE
This position will be, with the support and guidance of the Legal Manager, to provide legal support to the Company in Vietnam and maintain the overall compliance with local law and regulations and align with the Company’s policies and best practices. The Legal Executive shall provide advice on a full range of contract management, legal advisory, compliance practices, legal update, internal policies, general corporate matters including licensing support and other compliance matters
ROLES & RESPONSIBILITIES:
Contract management and legal advisory
  • Standardized Contract Template Management: Assist in developing, reviewing, and maintaining standardized contract templates to ensure legal compliance, operational efficiency, and alignment with business needs.
  • Contract Preparation, Negotiation and Management: Support the drafting, review and negotiate wide range of contractual agreements, from standard templates to customized contracts. Providing contract management support, including conflict resolution, legal advisory, contract renewal, and redrafting.
  • Legal Advisory: Providing the Company on a wide range of legal advices for commercial matters or corporate, litigation, employment, tax, intellectual property, etc..
  • Cross-Functional Legal Support and Risk Assessment: Under instruction from line manager, providing legal support and risk assessment to the various business functions, including finance, operations, and HR. Working closely with the businesses to ensure that appropriate risk management procedures are in place to cover contractual risk management.
Licensing
  • Licensing Management: Manage and maintain all licenses required for the Company’s operations, including relevant enterprise and operational sub-license and any amendments thereto. Ensure timely submission, renewal, and proper record-keeping, and coordinate with internal stakeholders to monitor expiry and support necessary updates in compliance with applicable regulations.
  • Power of Attorney (“POA”) and Official Correspondence Management: Prepare, update and review all POA(s), letters communicated with key stakeholder and authorities, and other related documents.
  • Reporting Management: Coordinating with relevant departments (HR, Finance, Operations, etc.) to ensure all statutory reporting obligations are fulfilled and reported to the authorities in accordance with applicable laws and upon official request, in a timely and accurate manner.
  • To support with other licensing processes as assigned from time to time by the Legal Manager.

Legal update
  • Legal Research and Updates: Conducting legal research and document reviews; provide legal updates as needed. Monitoring and assessing the impact of legal and regulatory changes on business operations. Supporting the Company’s response to regulatory developments and reporting requirements and advise departments on necessary actions to ensure legal compliance.
  • Training Support: Assisting the Legal Manager in providing internal training or updates on regulatory developments impacting business practices to key stakeholders if required.
Compliance support
  • Internal Audit Reporting Support: Assist in the preparation of audit reports, support compliance risk assessments, and participate in internal audits as assigned by the Legal Manager. Additionally, support to track the implementation of corrective action plans where required.
  • Internal Policy Drafting and Review: Drafting, reviewing, and updating internal guidelines and regulations as needed. This includes, but is not limited to, internal rules, employee handbooks, performance evaluation frameworks, and disciplinary procedures, ensuring alignment with current laws and Company policies.
  • Data Privacy: support as required.
Other tasks as assigned by the Legal Manager.

REQUIREMENTS
  • Bachelor degree of Law major
  • Minimum 2 years of relevant experience
  • Solid technical legal knowledge and practical experience.

  • Proven experience in drafting and negotiating contracts in both English and Vietnamese.

  • High degree of ethics, professionalism, and integrity.

  • Proactive and action-oriented, with a hands-on approach.

  • Ability to manage multiple tasks effectively under pressure.

  • Excellent time management and communication abilities.
