Position Summary 

The Senior Legal Counsel is responsible for providing comprehensive legal support to the company’s business operations, with a strong focus on foreign-invested enterprises (FDI), corporate restructuring, mergers andacquisitions (M&A), capital transfer transactions, business dissolution, investment licensing, and regulatory compliance in Vietnam. 

This role serves as a strategic legal advisor to senior management, ensuring legal compliance while facilitating complex corporate transactions and business transformation initiatives. 

 

Key Responsibilities 

1. Corporate Legal Affairs 

• Provide legal advice on corporate governance, enterprise law, and business operations. 

• Draft, review, and negotiate commercial agreements, corporate documents, and legal correspondence. 

• Support meetings of the Board of Directors, Board of Members, and Shareholders. 

• Advise management on legal risks and recommend mitigation strategies. 

• Maintain corporate legal records and ensure compliance with statutory filing requirements. 

2. Mergers & Acquisitions (M&A) 

• Lead legal workstreams for mergers, acquisitions, divestments, and capital transfer transactions. 

• Conduct legal due diligence for target companies and investment opportunities. 

• Assess transaction structures and identify legal and regulatory risks. 

• Draft, review, and negotiate Share Purchase Agreements (SPA), Shareholders Agreements (SHA), Capital Transfer Agreements, and related transaction documents. 

• Coordinate with investors, external law firms, auditors, tax advisors, and government authorities. 

• Support post-merger integration, restructuring, and corporate transformation projects. 

3. FDI Investment & Licensing 

• Advise on the establishment, amendment, expansion, and operation of foreign-invested enterprises (FDI) in Vietnam. 

• Manage Investment Registration Certificate (IRC) and Enterprise Registration Certificate (ERC) applications and amendments. 

• Support investment project adjustments, capital increases, ownership changes, and business scope modifications. 

• Liaise with licensing authorities, industrial zone management boards, export processing zones, and other regulatory bodies. 

• Ensure compliance with Vietnamese investment regulations and industry-specific legal requirements. 

4. Corporate Dissolution & Restructuring 

• Lead legal procedures for company dissolution, liquidation, and investment project termination. 

• Manage closure processes with licensing authorities, tax authorities, customs authorities, and social insurance agencies. 

• Coordinate the settlement of labor obligations, contractual commitments, and outstanding liabilities. 

• Support restructuring projects involving mergers, spin-offs, consolidations, and business transfers. 

• Ensure all dissolution and restructuring activities comply with applicable Vietnamese laws and regulations. 

5. Compliance & Risk Management 

• Monitor legal and regulatory developments impacting business operations. 

• Develop and implement internal compliance policies, procedures, and governance frameworks. 

• Conduct legal compliance reviews and internal audits. 

• Manage disputes, claims, litigation matters, and relationships with external legal counsel. 

• Deliver legal training and awareness programs to management and employees. 

 

Required Qualifications 

Education 

• Bachelor’s Degree in Law. 

• Lawyer License (Practicing Certificate) is strongly preferred. 

• Master’s Degree in Law, Business Law, or a related field is an advantage. 

Experience 

• Minimum 5 years of experience in corporate legal practice. 

• At least 3 years of hands-on experience handling M&A, FDI, corporate restructuring, or strategic transactions. 

• Strong experience supporting foreign-invested manufacturing companies in Vietnam. 

• Proven track record in company dissolution, liquidation, and investment project termination procedures. 

• Experience working with government authorities, multinational corporations, and international investors.
