Senior Legal Counsel (Renewable Energy M&A)

About the Company

Our client is a leading international renewable energy platform focused on the development, acquisition, ownership and operation of solar, wind and energy storage projects across Asia. 

Position Overview

We are seeking a highly motivated Senior Legal Counsel to support renewable energy projects in Vietnam. This role will provide legal guidance across project development, M&A transactions, construction, financing, commercial contracts, permitting and regulatory compliance.

The successful candidate will work closely with regional and local stakeholders to support strategic investments and project growth initiatives.

Key Responsibilities

1. Legal Advisory

• Provide legal support on project development, investment, construction and financing matters.

• Advise on Vietnamese laws and regulations affecting renewable energy projects.

• Manage relationships with external legal counsels and oversee legal matters efficiently.

• Monitor regulatory developments and assess their impact on business operations.

2. M&A and Corporate Transactions

• Lead and support legal due diligence exercises for project acquisitions and investments.

• Review, draft and negotiate transaction documents, including:

  • Share Purchase Agreements (SPA)

  • Shareholders Agreements (SHA)

  • Joint Venture Agreements

  • Memorandums of Understanding (MOU)

• Support transaction structuring, negotiations and deal execution.

3. Commercial Contracts

• Draft, review and negotiate a broad range of commercial agreements, including: EPC Contracts / Power Purchase Agreements (PPA) / O&M Agreements / Land Lease Agreements / Development and Services Agreements / Financing Documentation

• Identify legal and commercial risks and recommend mitigation strategies.

4. Permitting and Regulatory Compliance

• Support permitting processes and regulatory approvals.

• Advise on investment, construction, electricity, environmental and land-related regulations.

• Engage with regulatory authorities when required.

5. Risk Management and Claims

• Identify legal risks throughout the project lifecycle.

• Support dispute resolution and claims management.

• Coordinate with external counsel on litigation or complex legal matters.

6. Corporate Governance

• Support corporate compliance activities, board matters and statutory filings.

• Review and enhance legal templates, policies and governance procedures.

Requirements

• Qualified Lawyer with Bachelor's Degree in Law.

• Minimum 8 years of legal experience.

• Strong experience in: M&A Transactions / Corporate Law / Commercial Contracts / Project Development Transactions

• Renewable Energy, Infrastructure, Power, Construction or Project Finance experience is highly preferred.

• Proven track record handling legal due diligence and transaction execution.

• Strong commercial mindset and risk assessment capability.

• Excellent English drafting, negotiation and communication skills.
