Overview

Our client is seeking an experienced Legal Manager to provide strategic legal support across its energy portfolio. The role will oversee legal matters relating to project development, commercial operations, regulatory compliance, M&A transactions, and corporate governance within the oil & gas, power, and renewable energy sectors.

This position is suitable for candidates with in-house experience in energy companies or private practice lawyers from reputable law firms who have advised clients in oil & gas, LNG, power generation, transmission, utilities, renewable energy, and infrastructure projects.

Key Responsibilities

Commercial & Project Development

• Draft, review, negotiate, and advise on a broad range of commercial contracts, including:
  • EPC and EPCM Agreements
  • O&M Agreements
  • Power Purchase Agreements (PPA)
  • Gas Sale and Purchase Agreements (GSPA)
  • LNG-related contracts
  • Joint Venture Agreements
  • Shareholders' Agreements
  • Supply, procurement, and service contracts
• Support project development teams throughout the project lifecycle from development, construction, commissioning, and operation phases.
• Advise on project structuring and risk allocation in major energy and infrastructure projects.

Regulatory & Compliance

• Monitor and interpret developments in energy, environmental, and corporate regulations.
• Advise management on legal and regulatory requirements relating to power, renewable energy, oil & gas, and infrastructure sectors.
• Ensure compliance with applicable laws, licenses, permits, and regulatory obligations.
• Manage external counsel and coordinate legal support on specialized matters.

Corporate & Transactional Matters

• Lead legal due diligence for M&A, joint ventures, and investment transactions.
• Support project financing and refinancing activities.
• Prepare and review transaction documentation and corporate governance documents.
• Provide legal support on corporate restructuring initiatives.

Risk Management & Disputes

• Identify legal risks and provide practical business-oriented solutions.
• Manage disputes, claims, and litigation/arbitration matters when required.
• Develop and implement legal policies and contract management processes.

Stakeholder Management

• Partner closely with business, commercial, technical, finance, and project teams.
• Liaise with regulatory authorities, joint venture partners, lenders, and external advisors.

Requirements

Education

• Bachelor of Laws (LLB) or equivalent.
• Admission to practice law in Vietnam or other common law jurisdictions is preferred.
• Master's degree (LLM) is an advantage.
