KEY RESPONSIBILITIES
Governance & Company Secretary Leadership
- Lead Board and Committee governance processes, including agendas, papers, resolutions, minutes, and statutory filings.
- Advise management and directors on governance requirements, entity obligations, and decision-making processes.
- Maintain oversight of statutory registers, governance calendars, and entity records.
Regulatory Compliance, Licensing & Reporting
- Oversee regulatory compliance obligations and statutory filings across relevant entities.
- Manage business licences and regulatory authorisations, including renewals and key conditions.
- Monitor regulatory change and coordinate implementation of required actions.
Legal Advisory Oversight
- Provide legal guidance on routine commercial, governance, and compliance matters.
- Oversee contract lifecycle execution and prioritisation of legal matters.
- Escalate material legal risks with clear analysis and recommendations.
Controls, Frameworks & Capability Uplift
- Own and maintain governance, CoSec, and compliance frameworks, SOPs, and templates.
- Drive consistency, quality, and continuous improvement across legal and governance operations.
- Support capability development and effective delegation of execution activities.
Operating Context
- Operates as a senior execution and oversight role within the Legal, Compliance & Company Secretary function, partnering closely with the Head of Legal & Company Secretary. Provides governance leadership while ensuring day-to-day legal, compliance, and CoSec activities are delivered reliably as the organisation grows.
Success Measures
- Quality, accuracy, and timeliness of Board, Committee, and statutory governance outputs.
- Zero missed critical filings, licence renewals, or governance deadlines.
- Clear audit trails and consistent governance practices across entities.
- Positive feedback from directors, executives, and regulators.
QUALIFICATIONS & EXPERIENCE
- Bachelor’s degree in law or a related discipline. The candidate must be a qualified lawyer (possessing a practicing certificate/bar license); for expat candidates, this certificate can be from a foreign jurisdiction.
- 5 years' experience in company secretarial and governance roles. Experience operating in a multi-entity or multi-jurisdiction governance environment is strongly preferred. Strong hands-on experience managing Board and Committee processes and statutory obligations.
- Experience with Australian standards or the Australian banking industry is strongly preferred.
- Experience overseeing regulatory compliance and licensing activities.
- Exceptional proficiency in both written and spoken English. Native speakers or graduates from English-conducted programs are preferred.
